Membership & Services Agreement Italian Citizenship by Descent | RESIDENCY PATH

This Agreement ("Agreement") is effective as of the date you execute it (the "Effective Date") and is entered into by and between GlobalPassport, Inc. (referred to as "GP," "we," or "our") and you (referred to as the "Member," "you," or "your"). Collectively, GP and the Member are the "Parties."

SCOPE OF SERVICES.

  • Overview
    GlobalPassport, Inc. ("GP") provides professional assistance and guidance for individuals and families pursuing Italian citizenship by descent through judicial proceedings. Our services are designed to support your application process within defined parameters and limitations. 
  • Core Services Included:
    • Eligibility Assessment: Initial evaluation of your family lineage and documentation to determine potential qualification for citizenship by descent, including identification of any legal obstacles or requirements.
    • Document Strategy and Coordination: Development of a comprehensive plan identifying required documentation, sources, and procurement strategies. Coordination of document collection efforts.
    • Legal Document Preparation: Preparation of legal filings, petitions, and supporting documentation required for judicial proceedings, formatted according to current Italian legal requirements.  Our core services include:
      • Vital record procurement from government agencies
      • Professional translation services
      • Apostille and legalization services
      • Local legal counsel services
    • Platform Access: Secure access to GP's digital platform for document storage, progress tracking, and communication tools.
    • Professional Guidance: Access to citizenship specialists for consultation on case-specific issues, provided through scheduled appointments and written communications.
  • Residency Path Services
    • Vital Records Retrieval: We acquire necessary Italian records, adhering to official citizenship guidelines.
    • Documentation Review: A qualified Italian Clerk at the local comune conducts an initial compliance check on your application.
    • Discrepancy Resolution: Our team addresses any issues the Clerk identifies, ensuring a smoother path to acceptance.
    • Accommodation Support: The member will enjoy a fully furnished 2-bedroom apartment in the comune of their choice, subject to availability, for up to 21 days.
    • On-the-Ground Assistance: Receive in-person support in Italy for finalizing documents and establishing residency.
    • Citizenship Notification: We promptly inform you once you have successfully obtained Italian citizenship.
  • Services NOT Included (Additional Fees Apply):
    • Genealogical research beyond initial assessment
    • U.S. Court Order Fees (if needed)
    • USCIS Certificate of Non-Existence fees (if needed)
    • Local  government fees and court costs
  • Service Limitations:
    • Processing timelines depend on the Italian government.
    • GP's role is advisory and coordinative; final decisions rest with Italian authorities. GP cannot guarantee approval of citizenship applications.
    • Services are provided remotely; in-person meetings are not included unless specifically contracted
  • Communication and Support:
    • Primary communication through secure platform messaging and scheduled phone consultations 
    • Response time: 1-3 business days for non-urgent matters
    • Emergency support available for time-sensitive court deadlines
  • SERVICE COMMENCEMENT AND MILESTONE ACKNOWLEDGMENT

    Services begin upon completion of your initial consultation and document review. Services are considered substantially commenced when:
    • Comprehensive case assessment is completed AND
    • The initial document collection strategy is provided AND
    • Active work on document procurement or legal preparation has begun
  • Platform access alone does not constitute service delivery. Refund eligibility is determined based on substantial work completed relative to the total service scope. This confirms the Member's understanding that GP invests time and resources from the moment substantial work begins and that digital services are considered rendered under these conditions. 


MEMBER RESPONSIBILITIES

  • Accurate Information: You agree to provide accurate and complete information needed for GlobalPassport, Inc. to prepare and submit your application. By enrolling in this program, you acknowledge that the above services constitute the full scope of GP's assistance under this Agreement.


FEES, COSTS, AND EXPENSES.

  • Professional Fee ("PF"): The PF you pay covers the immediate allocation of resources and the start-up of services. It is non-refundable except under our Money-Back Guarantee conditions.
  • Expenses: GP covers standard expenses directly related to document preparation, including certified copies, record authentication, apostilles, and translations, as outlined in the Program Guidelines. However, the Member acknowledges that some expenses may be charged separately if they fall outside the scope of your PF.  These expenses are excluded due to their elevated cost and must be paid separately by the Member.
  • Non-Refundable Fees: All fees and charges paid to GP, including the PF and related expenses, are non-refundable unless the MBG applies. This reflects the investment GP makes in launching and managing your case.

    Genealogical Research Fee: In addition to our core services, the Member may elect to have GP conduct primary and secondary genealogical research to uncover the names, dates, and locations of key events in the Member's Ancestry Citizenship Tree. This service is provided in addition to the core services described above and will be billed according to the payment schedule received. Service fees are non-refundable unless covered by the MBG.

    Customized Quote (“CQ”):
    Your CQ details the PF amount and payment schedule.


    MONEY-BACK GUARANTEE (MBG)

    GlobalPassport provides a money-back guarantee under the following specific conditions:

    Full Refund Conditions: You qualify for a 100% refund of your Professional Fee (PF) if:
    • Official Application Denial: Your citizenship application is formally denied by the competent Italian government authority (consulate, comune, or court) AND you choose not to appeal such denial.
  • Partial Refund Conditions: You qualify for a 90% refund of your PF if:
    • Ineligibility Determination: Our genealogical research conclusively demonstrates that you do not qualify for Italian citizenship by descent, provided this determination is made within 90 days of service commencement.
  • No Refund Conditions
    • Client-initiated withdrawals for any reason other than official denial
    • Cases where client provides incomplete, inaccurate, or fraudulent information
    • Government policy changes that affect processing but do not result in application denial

Refund Timing: If eligible, GP will issue your refund after confirming ineligibility or receiving a denial notice, provided you do not appeal. Refund processing time may vary depending on case complexity.

IMPORTANT NOTES

  • • The MBG applies only to the final result of your application.
    • Services delivered at interim milestones are considered complete and non-refundable once provided.
    • We do not offer refunds for completed services unless the final outcome is officially denied for the reasons above.
    • Refund amounts may be subject to deductions for costs already incurred by GP, such as expenses related to vital record retrieval, document translation, or other administrative processing.
    • Except where the MBG applies, all fees are non-refundable. GP makes no guarantee regarding future features, upgrades, or public statements about possible new offerings.
    • Receipt of a refund may be contingent upon signing a standard acknowledgment form, which may include confidentiality or non-disparagement provisions.

GOVERNING LAW, VENUE AND JURISDICTION

This Agreement is governed by the laws of Delaware. Any disputes arising from this Agreement will be resolved exclusively in the courts of Delaware. GlobalPassport, Inc. is a Delaware-based corporation.

TERMINATION AND WITHDRAWAL PROVISIONS; CONCLUSION OF THE ENGAGEMENT

You may end this Agreement or withdraw your application at any time by giving GP 30 days' written notice. Upon such notice, GP will retain all fees and expenses paid up to the date of termination. Because GP invests substantial resources in your case, withdrawal rights apply under the MBG.

To ensure clarity, GP will provide a detailed accounting of services rendered upon request. This policy is intended to maintain transparency and fairness for both parties.

DISPUTE RESOLUTION

Initial Resolution Attempt:
Before initiating a chargeback or formal complaint, please give GP a chance to address any concerns. Provide a detailed written notice and allow 30 days for GP to respond and seek resolution.

ARBITRATION.

If a dispute remains unresolved, it will be handled by a single arbitrator through the International Centre for Dispute Resolution in San Francisco, California. The arbitrator's decision is final and enforceable in court. Both parties will split the costs unless the arbitrator directs otherwise.

DISCLAIMERS.

Members are encouraged to consult independent legal, tax, and investment advisors before using GP's services. Once your application is submitted, all final decisions—approvals, denials, or delays—depend on government authorities. GP is not liable for external regulatory changes or other factors beyond our control.

LIMITATION OF LIABILITY.

Neither party is liable for indirect, special, punitive, or consequential damages arising from this Agreement or the application process. Any liability is limited to amounts paid under this Agreement. Neither party is liable for claims resulting from changes in laws, policies, or regulations outside their control.

ENTIRE AGREEMENT.

This Agreement embodies the full understanding between you and GP regarding the services provided, superseding all prior or concurrent proposals, agreements, or representations, whether oral or written.

AGREEMENT UPDATES AND MODIFICATIONS

GlobalPassport, Inc. reserves the right to update these terms periodically based on business conditions or operational requirements. Updated terms will be posted electronically, and your continued use of GP's services constitutes acceptance of revised terms. You are responsible for reviewing terms periodically for updates.
